Terms of Service

PLEASE READ THE TERMS OF SERVICE AGREEMENT (“AGREEMENT”) CAREFULLY. BY ACCESSING WWW.AUTSORZ.COM AND/OR USING AUTSORZ APPLICATION (THE “SERVICES”), YOU HEREBY AGREE TO BE BOUND BY THE TERMS AND ALL TERMS INCORPORATED HEREIN BY REFERENCE. IT IS THE RESPONSIBILITY OF YOU, YOUR COMPANY, TO READ THE TERMS AND CONDITIONS BEFORE PROCEEDING TO USE THESE SERVICES. IF YOU DO NOT EXPRESSLY AGREE TO ALL OF THE TERMS AND CONDITIONS, THEN PLEASE DO NOT ACCESS OR USE OUR SERVICES.

YOU MUST BE OF LEGAL AGE TO ENTER INTO A BINDING AGREEMENT IN ORDER TO ACCEPT THE TERMS.

The Services is a copyrighted work belonging to PT. Vertika Tekno Lokacipta dba Autsorz (“Autsorz”, “us”, “our”, and “we”). Certain features of the Services may be subject to additional guidelines, terms, or rules, which will be posted on the Services in connection with such features. All such additional terms, guidelines, and rules are incorporated by reference into these “Terms”.

Description of Services

Autsorz is a serverless outsourcing relationship management application that streamlines administrative operations between service provider, client, and workforce. It provides fully automated invoicing, real-time approval and communication, early fraud detection, and a suite of productivity tools specifically engineered for outsourcing management. You may connect to the Services using the specific mobile app or any internet browser supported by the Services. You are responsible for obtaining access to the internet and the equipment necessary to use the Services. You can create and edit content with your user account and if you choose to do so, you can publish and share such content.

Access to the Services

1. License. Subject to these Terms, Autsorz grants you a non-transferable, non-exclusive, revocable, limited license to use and access the Services solely for your own personal, noncommercial use.
2. Certain Restrictions. The rights granted to you in these Terms are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Services, whether in whole or in part, or any content displayed at the Services; (b) you shall not modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Services; (c) you shall not access the Services in order to build a similar or competitive website, product, or service; and (d) except as expressly stated herein, no part of the Services may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means. Unless otherwise indicated, any future release, update, or other addition to functionality of the Services shall be subject to these Terms. All copyright and other proprietary notices at the Services (or on any content displayed at the Services) must be retained on all copies thereof.
3. Modification. Autsorz reserves the right, at any time, to modify, suspend, or discontinue the Services (in whole or in part) with or without notice to you. You agree that Autsorz will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Services or any part thereof.
4. No Support or Maintenance. You acknowledge and agree that Autsorz will have no obligation to provide you with any support or maintenance in connection with the Services.
5. Ownership. You acknowledge that all the intellectual property rights, including copyrights, patents, trademarks, and trade secrets, at the Services and its content are owned by Autsorz. Neither these Terms (nor your access to the Services) transfer to you or any third party any rights, title, or interest in or to such intellectual property rights, except for the limited access rights expressly set forth in Section 2. Autsorz reserves all rights not granted in these Terms. There are no implied licenses granted under these Terms.

User Sign-Up Obligations

You need to sign-up for a user account by providing all required information in order to access or use the Services. If you represent an organization and wish to use the Services for corporate internal use or for personal use, we recommend that you, and all other users from your organization, sign-up for user accounts by providing your corporate contact information. In particular, we recommend that you use your corporate email address (Google’s Gmail or G Suite). You agree to (a) provide true, accurate, current, and complete information about yourself as prompted by the sign-up process; and (b) maintain and promptly update the information provided during sign-up to keep it true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, outdated, or incomplete, or if we have reasonable grounds to suspect that such information is untrue, inaccurate, outdated, or incomplete, we may terminate your user account and refuse current or future use of any or all of the Services.

Organization Accounts and Administrators

When you sign up for an account for your organization you may specify one or more administrators. The administrators will have the right to configure the Services based on your requirements and manage end users in your organization account. If your organization account is created and configured on your behalf by a third party, it is likely that such a third party has assumed an administrator role for your organization. Make sure that you enter into a suitable agreement with such a third party specifying such party’s roles and restrictions as an administrator of your organization account.

You are responsible for: (a) ensuring confidentiality of your organization account password, (b) appointing competent individuals as administrators for managing your organization account, and (c) ensuring that all activities that occur in connection with your organization account comply with this Agreement. You understand that Autsorz is not responsible for keeping your password, account administration, and internal management of the Services for you.

You are responsible for taking the necessary steps for ensuring that your organization does not lose control of the administrator accounts. You may specify a process to be followed for recovering control in the event of such loss of control of the administrator accounts by sending an email to support@autsorz.com, provided that the process is acceptable to Autsorz. In the absence of any specified administrator account recovery process, Autsorz may provide control of an administrator account to an individual providing proof satisfactory to Autsorz demonstrating authorization to act on behalf of the organization. You agree not to hold Autsorz liable for the consequences of any action taken by Autsorz in good faith in this regard.

Personal Information and Privacy

The personal information you provide to us through the Service is governed by our Privacy Policy. Your election to use the Service indicates your acceptance of the terms of our Privacy Policy. You are responsible for maintaining the confidentiality of your username, password, and other sensitive information. You are responsible for all activities that occur in your user account and you agree to inform us immediately of any unauthorized use of your user account by email to info@autsorz.com or by calling us on any of the numbers listed on www.autsorz.com. We are not responsible for any loss or damage to you or to any third party incurred as a result of any unauthorized access and/or use of your user account, or otherwise.

Communications from Autsorz

The Service may include certain communications from Autsorz, such as service announcements, administrative messages, and newsletters. You understand that these communications shall be considered part of using the Services. As part of our policy to provide you total privacy, we also provide you the option of opting out of receiving newsletters of us. However, you will not be able to opt out from receiving service announcements, administrative messages, and legal amendments.

Complaints

If we receive a complaint from any person against you with respect to your activities as part of the use of the Services, we will forward the complaint to the primary email address of your user account.

Indemnification

You agree to indemnify and hold Autsorz (its officers, and employees) harmless, including costs and attorneys’ fees, from any claim or demand made by any third party due to or arising out of (a) your use of the Services, (b) your violation of these Terms or (c) your violation of applicable laws or regulations. Autsorz reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Autsorz. Autsorz will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

Spamming and Illegal Activities

You agree to be solely responsible for the contents of your transmissions through the Services. You agree not to use the Services for illegal purposes or for the transmission of material that is unlawful, defamatory, harassing, libelous, invasive of another’s privacy, abusive, human trafficking, threatening, harmful, vulgar, pornographic, obscene, or otherwise objectionable, offends religious sentiments, promotes racism, contains viruses or malicious code, or that which infringes or may infringe the intellectual property or other rights of another. You agree not to use the Services for the transmission of “junk mail”, “spam”, “chain letters”, “phishing” or unsolicited mass distribution of email. We reserve the right to terminate your access to the Services if there are reasonable grounds to believe that you have used the Services for any illegal or unauthorized activity.

Terms and Termination

Subject to this Section, these Terms will remain in full force and effect while you use the Services. We may suspend or terminate your rights to use the Services (including your account) at any time for any reason at our sole discretion, including for any use of the Services in violation of these Terms. Upon termination of your rights under these Terms, your account and right to access and use the Services will terminate immediately. We will not have any liability whatsoever to you for any termination of your rights under these Terms, including for termination of your account.

Disclaimer of Warranties

YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN AS-IS-AND-AS-AVAILABLE BASIS. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE COMPANY MAKES NO WARRANTY THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. USE OF ANY MATERIAL DOWNLOADED, OR OBTAINED THROUGH THE USE OF THE SERVICES SHALL BE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, MOBILE TELEPHONE, WIRELESS DEVICE, OR DATA THAT RESULTS FROM THE USE OF THE SERVICES, OR THE DOWNLOAD OF ANY SUCH MATERIAL. NO ADVICE OR INFORMATION, WHETHER WRITTEN, OR ORAL, OBTAINED BY YOU FROM AUTSORZ, ITS EMPLOYEES, OR REPRESENTATIVES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS.

Limitation of Liability

YOU AGREE THAT AUTSORZ SHALL, IN NO EVENT, BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR OTHER LOSS OR DAMAGE WHATSOEVER OR FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, COMPUTER FAILURE, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS ARISING OUT OF OR CAUSED BY YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF AUTSORZ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT SHALL AUTSORZ’S ENTIRE LIABILITY TO YOU IN RESPECT OF ANY SERVICE, WHETHER DIRECT OR INDIRECT, EXCEED THE FEES PAID BY YOU TOWARDS SUCH SERVICE.

Arbitration

Any controversy or claim arising out of or relating to the Terms shall be settled by binding arbitration in accordance with the commercial arbitration rules of the Singapore International Arbitration Center (SIAC). Any such controversy or claim shall be arbitrated individually basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The decision of the arbitrator shall be final and binding. The language of the arbitration shall be English. The seat of arbitration shall be Singapore and the arbitration award may be entered into any court having jurisdiction thereof.

Changes To This Agreement

This Agreement is effective as of the above date and will remain in effect except with respect to any changes in its provisions in the future, which will be in effect immediately after being posted on this page.

We reserve the right to update or change this Agreement at any time and you should check this Agreement periodically. Your continuing use of the Service after we post any modifications to the Agreement on this page will constitute your acknowledgment of the modifications and your consent to abide and be bound by the modified Agreement.

If we make any material changes to this Agreement, we will notify you either through the email address you have provided us or by placing a notice at our Services.
